1. Parties

This Agreement is between IECAN LLC ("Developer"), organized under the laws of Idaho, principal place of business in Rathdrum, Idaho 83858, and the Client identified in the build summary above.

2. Scope of Work

Developer will build a custom, hand-coded website as specified in the build summary. The deliverable includes all pages, features, and integrations selected during this discovery process. Items not explicitly listed are not included without a written change order and revised pricing.

3. Payment Terms

Full payment of $2,500 is due before development begins. The $1,000 Discovery Build fee is credited 100% toward the $2,500 project cost. All payments processed through Stripe. Completed work is non-refundable. Unpaid balances accrue interest at 1.5% per month after a 15-day grace period.

4. Intellectual Property

(a) Developer retains all right, title, and interest in pre-existing intellectual property, including website architectures, code frameworks, and proprietary methodologies ("Developer IP"). (b) Upon full payment, Developer grants Client a perpetual, non-exclusive, non-transferable license to use, display, and modify the Deliverables for Client's own business purposes. Client may not resell, redistribute, or sublicense. (c) Upon full payment, Developer will deliver all source files (HTML, CSS, JavaScript, images, configuration files). Client may host on any platform.

5. Client Responsibilities

Client will provide all content (text, images, video, logos) within 10 business days of project start. Client is solely responsible for the accuracy, legality, and licensing of all content provided — including Instagram embeds, YouTube videos, photography, and advertising claims. Late delivery extends the timeline proportionally.

6. Third-Party Content & Embeds

Any third-party content embedded on the site (Instagram, YouTube, social media feeds) must be content the Client owns or has written permission to use. Client warrants they hold all necessary rights and licenses. Client indemnifies Developer against any claims arising from third-party content. Developer has no liability for the performance, availability, or changes to any third-party product or service.

7. Revisions

Two (2) rounds of revisions are included per deliverable. A "round" is one consolidated set of feedback delivered in writing. Additional rounds billed at $150/hour. Revisions requested after approval (or after 10 business days of no response = deemed acceptance) are billed separately.

8. Timeline

Discovery Build delivered within 7 business days. Full site build estimated at 14-21 business days from receipt of all content and final payment. Timelines are estimates and depend on timely client feedback. Developer prioritizes fast turnaround but does not guarantee specific delivery dates.

9. Limitation of Liability

Developer's total aggregate liability shall not exceed the total fees paid by Client under this Agreement. Developer shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, business interruption, or consequential damages regardless of cause or duration.

10. No Guarantee of Results

Developer does not represent, warrant, or guarantee any specific results or outcomes — including website traffic, lead volume, lead quality, conversions, advertising revenue, social media growth, search rankings, AI-engine citations, or business profits. Any projections, estimates, or examples discussed are expressions of opinion only and are not guarantees. Results vary based on market conditions, client content, industry competition, and factors outside Developer's control.

11. Stripe & Payment Processing

Client's relationship with Stripe (fees, terms, disputes, chargebacks) is solely between Client and Stripe. Developer is not responsible for payment processing, transaction fees, or Stripe account status.

12. AI Tools Disclosure

Developer may use AI tools (including but not limited to Runway, Claude, and generative AI platforms) in creation of design assets, copy, and media. Developer does not control and is not responsible for the output, accuracy, or continued operation of such AI tools. Client is responsible for reviewing and approving all content before publication.

13. Portfolio Rights

Developer reserves the right to display the finished website and project details in its portfolio, case studies, and marketing materials.

14. Termination

Either party may terminate with 30 days written notice. Work completed prior to termination is billed in full. Completed work is non-refundable.

15. Governing Law

This Agreement shall be governed by the laws of the State of Idaho. Any disputes shall be resolved through binding arbitration in Kootenai County, Idaho.

16. Compliance

Client and Client's designated principal is solely responsible for substantive compliance review of all website content prior to publication. Developer builds the technical framework, page structure, schema, forms, and disclaimer slots. Developer does not provide legal, regulatory, or compliance advice.

17. Analytics & Session Recording

This discovery experience uses analytics tools (Microsoft Clarity, Google Analytics) to record navigation, clicks, and preferences as you build your site specification. Input data you provide (name, email, color choices, feature selections) is captured incrementally and stored securely. By checking the agreement box below, you consent to this data collection. Payment information is processed by Stripe and is not recorded or stored by Developer's analytics tools.
